Terms of Service
Last updated: October 20, 2026
These Terms of Service (“Terms”) are a binding agreement between Answerlytic, LLC (“Answerlytic,” “we,” “us,” or “our”) and the business or other legal entity accepting these Terms (“Customer,” “you,” or “your”). These Terms govern Customer’s access to and use of Answerlytic Voice and related websites, administrative portals, support, integrations, and services (collectively, the “Service”).
By clicking to accept these Terms, creating an account, purchasing a subscription, or using the Service, the person accepting represents that the person is at least 18 years old and has authority to bind Customer. If the person does not have that authority or Customer does not agree to these Terms, Customer may not use the Service.
1. Contract documents
These Terms, any order form or online plan accepted by Customer (an “Order”), the Answerlytic Privacy Policy, and any data-processing addendum signed by the parties form the agreement between Customer and Answerlytic (the “Agreement”). If there is a conflict, the order of precedence is: a signed Order, a signed data-processing addendum for data-protection matters, these Terms, and the Privacy Policy. An Order changes these Terms only if it specifically identifies the provision being changed.
2. The Service
Answerlytic Voice is an AI-powered telephone receptionist for businesses. Depending on Customer’s plan and configuration, the Service may answer inbound calls, respond using information supplied by Customer, take messages, schedule appointments, route or transfer calls, send staff notifications, and provide an administrative portal for settings and call records.
The Service uses automated systems and artificial intelligence. Responses, transcripts, summaries, classifications, messages, transfers, and appointments may be delayed, incomplete, or inaccurate. Customer must review important information, monitor appointments and messages, maintain current settings, and keep a reasonable alternative method for callers to reach Customer.
The Service is not an emergency dispatch, 911, alarm-monitoring, medical, legal, financial, or other life-safety or professional-advice service. Customer must not rely on it as the sole means of receiving urgent communications, and must not represent otherwise to callers.
Unless an Order expressly states a service level, Answerlytic does not guarantee uninterrupted availability, a response time, successful call completion, message delivery, call transfer, transcription accuracy, or appointment completion.
3. Accounts and authorized users
Customer must provide accurate account information and keep it current. Customer is responsible for:
- Selecting administrators and authorized users and promptly removing access that is no longer authorized.
- Maintaining the confidentiality of credentials and requiring each user to use an individual account.
- All activity under its accounts, except to the extent caused by Answerlytic’s breach of the Agreement.
- Promptly notifying Answerlytic at security@answerlytic.com of suspected unauthorized access or other security incidents affecting the Service.
- Configuring appropriate permissions for connected calendars, telephone systems, email accounts, and other integrations.
Customer may use the Service only for its internal business purposes and may not resell, sublicense, timeshare, or provide the Service to another entity unless an Order expressly permits it.
4. Customer information and instructions
Customer is responsible for the accuracy, completeness, legality, and timely updating of all information and instructions it provides, including business hours, services, prices, policies, service areas, scripts, frequently asked questions, calendar availability, escalation instructions, and transfer numbers.
Customer is responsible for its products and services and for commitments made to callers. Answerlytic does not become a party to any transaction, appointment, or other relationship between Customer and a caller.
Customer must test its configuration before relying on it and periodically review calls, messages, appointments, prompts, integrations, and notifications. Customer must promptly correct information it knows or reasonably should know is inaccurate.
5. Calls, AI, and recording
The Service identifies itself to callers as an automated assistant. If a call will be recorded or transcribed, the Service gives the caller a notice at the start of the call.
Customer must comply with all laws applicable to its calls and use of caller information, including recording, interception, wiretapping, privacy, consumer-protection, and artificial-intelligence disclosure laws in every applicable jurisdiction. Customer must not remove, bypass, obscure, or make misleading changes to any disclosure required by Answerlytic.
Customer represents and warrants that it has a lawful basis and all required notices, consents, permissions, and authority for Customer Data, call handling, recording or transcription, staff alerts, connected systems, and instructions submitted to the Service. Answerlytic may require a conservative consent configuration, disable recording or transcription, reject a customized greeting, or suspend a configuration that Answerlytic reasonably believes creates legal, security, or safety risk.
The Service is limited to inbound calls. Customer must not use or attempt to use the Service, an API, an integration, call forwarding, or automation to place outbound calls, conduct telemarketing, send prerecorded or artificial-voice messages, or evade calling or messaging laws.
6. Prohibited data and uses
Unless Answerlytic has expressly approved a use in a signed writing, Customer must not use the Service to collect, process, or store:
- Payment-card numbers or card verification codes.
- Social Security numbers, government identification numbers, account passwords, authentication secrets, or full financial-account credentials.
- Protected health information subject to HIPAA or detailed medical information.
- Voiceprints, biometric identifiers, or data used for speaker identification, authentication, or voice cloning.
- Information whose collection or use through the Service is prohibited by law or Customer’s obligations to another party.
Customer must not use the Service to:
- Break the law or violate privacy, publicity, intellectual-property, consumer, civil, or other rights.
- Commit fraud, impersonate another person or entity, deceive callers, spoof caller identity unlawfully, phish, or engage in social engineering.
- Harass, threaten, exploit, discriminate unlawfully, or promote violence or illegal goods or services.
- Send spam or unauthorized marketing, or disregard a person’s consent withdrawal or opt-out request.
- Introduce malware, obtain credentials, probe or test security without written permission, circumvent access controls or usage limits, scrape the Service, or interfere with the Service or another customer.
- Access or attempt to access another customer’s data.
- Reverse engineer, decompile, disassemble, copy, or create derivative works of the Service except to the limited extent a restriction is prohibited by law.
- Use the Service for emergency dispatch, alarm monitoring, life-safety functions, high-risk eligibility or employment decisions, or regulated professional services without Answerlytic’s prior written approval.
- Use Service output to develop or benchmark a competing product, except with Answerlytic’s written permission.
Answerlytic may investigate suspected violations and may remove or block content, limit functionality, throttle usage, or suspend access when reasonably necessary to protect callers, Customer, Answerlytic, service providers, or the Service. Answerlytic has no general obligation to monitor every call or item of Customer Data.
7. Staff text-message alerts
Program description
Answerlytic Voice sends automated, non-marketing text-message alerts to Customer staff about inbound calls, such as a new appointment, caller message, or call needing human attention. Answerlytic does not send marketing texts through this program and does not text callers.
Consent and Customer responsibility
A Customer administrator may add a staff member’s mobile number and must confirm that the person agreed to receive these alerts. Customer represents that it has obtained that consent and must promptly remove numbers belonging to former staff or anyone who withdraws consent. Consent to staff alerts is not a condition of purchasing the Service. Answerlytic may send one confirmation message when a number is enrolled.
Frequency and charges
Message frequency varies with call activity. Message and data rates may apply under the recipient’s mobile plan.
Opt out and help
Reply STOP to stop alerts to that number. Answerlytic may send one final confirmation. Reply START to subscribe again. Reply HELP, email support@answerlytic.com, or call 706-474-3353 for help. Opting out of SMS does not cancel Customer’s account or disable email, portal, or other communications.
Delivery and privacy
Our Privacy Policy at https://www.answerlytic.com/privacy explains how we handle mobile information. We do not sell mobile information or disclose it to third parties for their own marketing or promotional purposes. We disclose it to communications providers as needed to send, deliver, secure, and support the requested messages.
8. Plans, fees, and taxes
Customer must pay the subscription, usage, overage, setup, telephone, messaging, and other fees shown in the applicable Order or at checkout. Except where an Order states otherwise, fees are in U.S. dollars and payment obligations are noncancelable for the current billing period and nonrefundable.
Usage is measured according to number of minutes used. Usage exceeding a plan allowance is charged at the rate specified in the customer's subscription plan. Overage pricing will be stated in the Order or in Answerlytic’s then-current published pricing. Customer is responsible for usage under its account, including unexpected or unauthorized usage unless directly caused by Answerlytic’s breach of the Agreement.
Fees exclude sales, use, telecommunications, excise, and similar taxes and government charges. Customer is responsible for those amounts except taxes based on Answerlytic’s net income. If Customer claims an exemption, it must provide valid documentation before billing.
Customer authorizes Answerlytic and its payment processor to charge the selected payment method for all amounts due. Customer must keep billing information current. Answerlytic may retry failed charges and may suspend the Service after providing ten days’ notice of nonpayment, except where immediate action is reasonably necessary to prevent fraud or loss.
Customer must notify Answerlytic of a good-faith billing dispute within thirty days after the charge and provide reasonable detail. The parties will work in good faith to resolve timely disputes, but Customer must pay undisputed amounts when due.
9. Subscription term and renewal
Unless an Order states otherwise, paid plans begin on the purchase date, continue for one month, and automatically renew for successive monthly or annual periods until canceled. Before Customer subscribes, Answerlytic will disclose the recurring price, billing frequency, included usage, material overage terms, and cancellation method.
Customer may cancel by emailing support@answerlytic.com. Cancellation takes effect at the end of the current paid billing period unless Answerlytic offers immediate termination. Customer remains responsible for charges incurred before the effective cancellation date, and unused amounts are not refunded except where the Agreement or law requires otherwise.
Answerlytic may change fees on at least thirty days advance notice. Price changes take effect at Customer’s next renewal after the notice period. If Customer does not agree, its remedy is to cancel before that renewal.
Trials and promotions may have separate eligibility, duration, usage, conversion, and cancellation terms presented before enrollment. Unless expressly stated otherwise, unused promotional credits expire when the account is canceled and have no cash value.
10. Customer Data and privacy
“Customer Data” means information and content submitted to the Service by or for Customer, caller content processed on Customer’s behalf, and Customer-specific messages, transcripts, summaries, and appointment records generated from that content.
As between the parties, Customer retains all rights it has in Customer Data. Customer grants Answerlytic a limited, nonexclusive right to host, copy, transmit, transform, disclose to approved service providers, and otherwise process Customer Data as necessary to provide, secure, maintain, and support the Service; follow Customer’s lawful instructions; prevent fraud or abuse; and comply with law.
Customer instructs Answerlytic to process caller personal information on Customer’s behalf. Customer is responsible for determining the lawfulness and purposes of that processing, providing required notices, responding to caller requests, and giving Answerlytic lawful instructions. Answerlytic’s Privacy Policy describes its privacy practices, and any signed data-processing addendum governs the parties’ data-protection obligations.
Answerlytic will not use Customer Data to train generative or foundation AI models.
Answerlytic may generate and use aggregated or de-identified statistics about operation, security, reliability, and use of the Service, provided they do not reasonably identify Customer or any individual. Answerlytic will not attempt to reidentify that information.
11. Confidentiality
“Confidential Information” means nonpublic information disclosed by one party (“Discloser”) to the other (“Recipient”) that is identified as confidential or that reasonably should be understood as confidential. Customer Data is Customer’s Confidential Information. The Service, nonpublic documentation, security information, and pricing offered specifically to Customer are Answerlytic’s Confidential Information.
Confidential Information does not include information Recipient can document: was lawfully known without restriction before disclosure; becomes public without Recipient’s breach; is received lawfully from another source without confidentiality duty; or is independently developed without use of the Confidential Information.
Recipient will use Confidential Information only to perform or exercise rights under the Agreement and will protect it using at least reasonable care. Recipient may disclose it only to personnel, contractors, professional advisers, and service providers who need it for that purpose and are bound by appropriate confidentiality duties.
If law requires disclosure, Recipient may disclose only the required portion and, where legally permitted, will provide reasonable advance notice so Discloser may seek protection. These duties continue for three years after disclosure, except that duties concerning trade secrets continue while the information remains a trade secret and duties concerning personal information continue as required by law and the Agreement.
12. Security
Answerlytic will maintain reasonable administrative, technical, and physical safeguards designed to protect Customer Data. Customer acknowledges that no service can guarantee absolute security.
Customer is responsible for securely configuring its account and integrations, limiting user permissions, maintaining secure endpoints and connected systems, and promptly reporting suspected compromise. Customer must not send credentials or prohibited sensitive information through call scripts, prompts, support tickets, or integrations.
Security incidents and personal-data obligations are handled under the Privacy Policy and any applicable data-processing addendum.
13. Third-party services
The Service depends on third-party hosting, telecommunications, carriers, speech, AI, email, SMS, authentication, calendar, and other services. Customer authorizes Answerlytic to exchange Customer Data with these providers as necessary to provide Customer’s configured Service.
Customer-selected integrations may be governed by separate terms and privacy policies. Customer is responsible for its accounts, licenses, permissions, and instructions for those integrations. Answerlytic does not control and is not responsible for third-party services, carrier networks, customer telephone systems, or changes to third-party APIs, except to the extent expressly stated in the Agreement.
Answerlytic may replace a provider or integration and may modify or discontinue an affected feature if a provider changes or ends its service. Where reasonably practicable, Answerlytic will notify Customer of a material reduction in core functionality.
14. Answerlytic intellectual property
Answerlytic and its licensors retain all rights in the Service, software, models and orchestration, workflows, prompts created by Answerlytic, documentation, interfaces, designs, trademarks, system data, security logs, and improvements. No rights are granted except the limited right to use the Service during the subscription term under the Agreement.
If Customer provides suggestions or feedback, Customer grants Answerlytic a perpetual, irrevocable, worldwide, royalty-free right to use it without restriction or obligation, provided Answerlytic does not identify Customer publicly without permission.
Customer may not remove proprietary notices or use Answerlytic’s name, trademarks, or logo without written permission. Answerlytic will not use Customer’s name or logo in marketing without Customer’s prior consent.
15. Changes and availability
Answerlytic may update, improve, replace, or discontinue features. Answerlytic may perform scheduled or emergency maintenance and may impose reasonable technical limits to protect security, reliability, providers, and other customers.
If Answerlytic permanently discontinues the Service as a whole, it will provide reasonable advance notice where practicable and refund prepaid fees covering the period after discontinuation. This sentence does not apply to suspension or termination caused by Customer, security or legal risk, force majeure, or a third-party service failure.
Beta, preview, trial, or evaluation features may be changed or withdrawn at any time, may be subject to additional terms and usage limits, and are provided without service levels or warranties.
16. Suspension
Answerlytic may suspend all or part of the Service if it reasonably believes:
- Customer has materially breached the Agreement or payment is overdue.
- Customer’s use is unlawful, fraudulent, abusive, deceptive, or creates privacy, security, safety, or reputational risk.
- Suspension is required by law, a court, a regulator, a carrier, or a critical service provider.
- Customer’s use threatens the Service, another customer, callers, or a third party.
- Customer has submitted prohibited sensitive information or bypassed required disclosure or consent controls.
When reasonably practicable, Answerlytic will notify Customer and give it an opportunity to cure. Answerlytic may suspend immediately where delay could increase legal, security, financial, or safety risk. Answerlytic will use reasonable efforts to limit suspension to the affected function and restore access after the issue is resolved.
17. Termination and data export
Either party may terminate the Agreement if the other party materially breaches it and does not cure the breach within 10 days after written notice, unless the breach cannot be cured. Answerlytic may terminate immediately for unlawful or fraudulent use, deliberate circumvention of safeguards, material security threats, insolvency where legally permitted, or repeated material breaches.
Customer may terminate a month-to-month subscription by canceling as described in Section 9. Answerlytic may terminate a month-to-month Service for convenience on at least 10 days’ notice.
When the Agreement ends, Customer’s right to use the Service ends, except that Answerlytic may provide a 10-day period to export available Customer Data. Customer is responsible for exporting data it wishes to retain. Answerlytic may shorten or omit the export period where continued access would violate law or present material security or safety risk.
After the export period, Answerlytic will delete Customer Data according to the Privacy Policy and any data-processing addendum, subject to backup cycles, legal holds, fraud prevention, dispute records, and legal retention requirements. Termination does not relieve Customer of charges incurred before termination.
Sections that by their nature should survive termination—including payment obligations, intellectual-property provisions, confidentiality, disclaimers, liability limitations, indemnification, dispute terms, and general provisions—will survive.
18. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS. ANSWERLYTIC DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
ANSWERLYTIC DOES NOT WARRANT THAT THE SERVICE OR ANY AI OUTPUT, TRANSCRIPT, SUMMARY, MESSAGE, CALL ROUTING, TRANSFER, NOTIFICATION, OR APPOINTMENT WILL BE ACCURATE, COMPLETE, TIMELY, ERROR-FREE, SECURE, OR UNINTERRUPTED; THAT EVERY CALL OR MESSAGE WILL BE RECEIVED; OR THAT THE SERVICE WILL MEET CUSTOMER’S REQUIREMENTS. CUSTOMER IS RESPONSIBLE FOR REVIEWING OUTPUTS AND MAINTAINING APPROPRIATE HUMAN OVERSIGHT AND BUSINESS CONTINUITY.
Nothing in the Agreement excludes a warranty or right that cannot lawfully be excluded.
19. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE ARISING OUT OF OR RELATED TO THE AGREEMENT FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, BUSINESS, OPPORTUNITIES, ANTICIPATED SAVINGS, DATA, OR USE; BUSINESS INTERRUPTION; MISSED CALLS OR APPOINTMENTS; OR THE COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANSWERLYTIC’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE AGREEMENT, UNDER ALL THEORIES OF LIABILITY AND FOR ALL CLAIMS COMBINED, WILL NOT EXCEED THE FEES PAID OR PAYABLE BY CUSTOMER FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE FIRST EVENT GIVING RISE TO LIABILITY. FOR FREE OR TRIAL SERVICE, ANSWERLYTIC’S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED $100.
The exclusions and cap do not apply to liability that cannot be excluded or limited under applicable law.
These limitations apply regardless of the form of action, including contract, tort, negligence, strict liability, statute, or otherwise, and are an essential basis of the parties’ bargain.
20. Indemnification
Customer will defend, indemnify, and hold harmless Answerlytic, its affiliates, and their officers, directors, employees, contractors, and agents from third-party claims, investigations, proceedings, damages, judgments, settlements, penalties, fines, costs, and reasonable attorneys’ fees arising out of or related to:
- Customer Data, Customer’s scripts, greetings, instructions, products, services, or dealings with callers.
- Customer’s or an authorized user’s use of the Service in violation of the Agreement or law.
- Customer’s failure to provide required notices or obtain required consent for recording, transcription, privacy, integrations, or staff messages.
- An allegation that Customer Data or Customer-provided materials infringe, misappropriate, or violate another person’s rights.
- Customer’s fraud, negligence, willful misconduct, or breach of its representations or warranties.
Answerlytic will promptly notify Customer of a covered claim, permit Customer to control the defense with counsel reasonably acceptable to Answerlytic, and provide reasonable cooperation at Customer’s expense. Customer may not settle a claim in a way that admits wrongdoing by Answerlytic, imposes a nonmonetary obligation on Answerlytic, or fails to unconditionally release Answerlytic without Answerlytic’s written consent. Answerlytic may participate with its own counsel at its own expense.
21. Governing law and disputes
The Agreement is governed by Georgia law, without regard to conflict-of-law rules. Before filing a claim, a party must send a written notice describing the dispute and requested relief. The parties will attempt in good faith to resolve it for 30 days, except that either party may seek immediate injunctive relief where necessary to prevent misuse, infringement, or unauthorized disclosure.
Subject to applicable small-claims jurisdiction, the state courts located in Gwinnett County, Georgia, and the United States District Court for the Northern District of Georgia will have exclusive jurisdiction over disputes arising out of or related to the Agreement. Each party consents to personal jurisdiction and venue in those courts.
TO THE EXTENT PERMITTED BY LAW, EACH PARTY KNOWINGLY AND VOLUNTARILY WAIVES TRIAL BY JURY FOR A DISPUTE ARISING OUT OF OR RELATED TO THE AGREEMENT.
22. Changes to these Terms
Answerlytic may update these Terms to reflect changes in law, security, the Service, or business practices. Answerlytic will post the revised Terms and update the effective date. For a material change, Answerlytic will provide advance notice through email, the Service, or the portal and will not apply the change retroactively where prohibited.
A material change takes effect on the date stated in the notice, ordinarily no sooner than 30 days after notice. If Customer objects, it may cancel before the effective date. Continued use after the effective date constitutes acceptance. If law or the nature of the change requires affirmative consent, Answerlytic will request it.
23. Electronic communications and notices
Customer agrees to receive agreements, disclosures, invoices, and operational and legal notices electronically at the account email address or through the Service. Customer must keep its contact information current.
Routine notices to Answerlytic may be sent to support@answerlytic.com. Formal legal notices must be sent by email to legal@answerlytic.com and by nationally recognized overnight courier or certified mail to:
Answerlytic, LLC
1375 Charter Club Dr.
Lawrenceville, GA 30043
Telephone: 706-474-3353
A formal notice is effective on confirmed delivery, except that an email is not sufficient by itself for service of legal process unless Answerlytic expressly agrees.
24. General
- Assignment. Customer may not assign the Agreement without Answerlytic’s prior written consent, except in connection with a merger or sale of substantially all its assets if the successor is not a competitor and assumes the Agreement in writing. Answerlytic may assign the Agreement to an affiliate or in connection with a merger, financing, reorganization, or sale of its business or assets.
- Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, labor disputes, government action, internet or telecommunications failures, carrier outages, utility failures, epidemics, cyberattacks by third parties, or critical provider failures. This does not excuse Customer’s obligation to pay amounts already due.
- Independent parties. The parties are independent contractors. The Agreement does not create a partnership, franchise, agency, fiduciary, employment, or joint-venture relationship.
- No third-party beneficiaries. The Agreement benefits only the parties and their permitted successors and assigns, except indemnified parties may enforce the indemnification provision.
- No waiver. Failure to enforce a provision is not a waiver. A waiver must be in writing and applies only to the stated instance.
- Severability. If a provision is unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in effect.
- Entire agreement. The Agreement is the entire agreement concerning the Service and supersedes prior or contemporaneous proposals, communications, and understandings on that subject. Customer purchase-order terms do not apply unless Answerlytic expressly accepts them in a signed writing.
- Interpretation. “Including” means “including without limitation.” Headings are for convenience only. Electronic copies and acceptances are treated as originals to the extent permitted by law.
